If it's actually a "permission denied" error, I would check the permissions
on that file under XP.  (Though I can't imagine the file note being readable.)

The other thing to make sure is that the file was sent in _binary_ mode, and
not text/ascii mode.  (Make sure that the xfer.tmp filesize is identical
between SCO and XP.  You need the actual size in bytes, not the approximation
in KB that Windows likes to show you.)
